Accumu-List Seller Agreement

1. Acceptance of Agreement
This Seller Agreement ("Agreement") is a binding contract between you and Accumu-List ("Accumu-List", "we", "us"). By creating a Seller account, you confirm that you have read, understood, and agree to be bound by this Agreement. If you do not agree, do not create an account.
2. Eligibility
You must be at least 18 years old and legally able to enter into contracts to create a Seller account. You agree that all information you provide, including your name, email address, mobile phone number, and mailing address, is accurate and will be kept up to date.
3. Ownership of Items
You represent and warrant that you are the lawful owner of, or have full legal authority to sell, every item you list or submit on Accumu-List, and that each item is free of liens, claims, and encumbrances. You may not list stolen, counterfeit, recalled, hazardous, or illegal items.
4. Listings and Descriptions
You agree to describe each item honestly and accurately, including its condition, defects, authenticity, and provenance, and to provide photos that fairly represent the item. You are responsible for all content you upload, and you grant Accumu-List a non-exclusive, royalty-free license to display, reproduce, and promote your listing content in connection with the platform.
5. Offers from Resellers
Resellers on Accumu-List may review your items and submit offers. You are under no obligation to accept any offer. When you accept an offer, you agree to complete the sale at the accepted price and terms, and to make the items available for pickup or shipment as agreed within a reasonable time.
6. Payouts
Payouts for completed sales are sent to the payout method you register with Accumu-List. You are responsible for providing accurate payout details. Accumu-List may delay or withhold a payout while a transaction is under review for fraud, a dispute, a chargeback, or a violation of this Agreement.
7. Condition Disputes
If a Reseller reports that an item materially differs from its description, Accumu-List may review the transaction and may reverse, adjust, or cancel the sale. You agree to cooperate in good faith with any review, including providing additional photos or documentation.
8. Account Security
You are responsible for keeping your login credentials confidential and for all activity that occurs under your account. You agree to notify Accumu-List immediately of any unauthorized use of your account. Accumu-List may suspend or terminate accounts that are used fraudulently, abusively, or in violation of this Agreement.
9. Communications
By creating an account you agree to receive transactional emails and text messages about your account, listings, offers, sales, and payouts at the email address and mobile phone number you provide. Message and data rates may apply. You may opt out of marketing messages at any time, but transactional messages are required to use the platform.
10. Fees and Payments
Accumu-List may charge subscription fees, listing fees, or commissions as described on the Pricing page at the time of the transaction. Payments are processed by third-party payment processors, and you agree to comply with their terms. Accumu-List may update its fees with notice, and continued use of the platform after a change takes effect constitutes acceptance of the updated fees.
11. Taxes
You are solely responsible for determining, collecting, reporting, and paying any taxes that apply to your transactions on the platform, except where Accumu-List is required by law to collect or report taxes on your behalf.
12. Disclaimer of Warranties
The platform is provided on an "as is" and "as available" basis. Accumu-List does not guarantee the condition, authenticity, value, or legality of any item listed, the accuracy of any listing, or that any transaction will be completed. To the fullest extent permitted by law, Accumu-List disclaims all warranties, express or implied.
13. Limitation of Liability
To the fullest extent permitted by law, Accumu-List and its owners, employees, and partners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising from your use of the platform. Accumu-List's total liability for any claim will not exceed the fees you paid to Accumu-List in the twelve months before the claim arose.
14. Indemnification
You agree to indemnify and hold harmless Accumu-List from any claims, losses, damages, and expenses, including reasonable attorneys' fees, arising from your listings, your transactions, your violation of this Agreement, or your violation of any law or the rights of a third party.
15. Disputes
Any dispute arising from this Agreement or your use of the platform will first be addressed through good-faith negotiation. If a dispute cannot be resolved informally, it will be resolved in the courts located in the state where Accumu-List is headquartered, and you consent to the personal jurisdiction of those courts.
16. Changes to This Agreement
Accumu-List may update this Agreement from time to time. When we make material changes, we will notify you by email or through the platform. Continued use of your account after the updated Agreement takes effect constitutes acceptance of the changes.
17. Termination
You may close your account at any time by contacting Accumu-List. Accumu-List may suspend or terminate your account at any time for violation of this Agreement. Obligations related to completed or pending transactions, fees owed, indemnification, and limitation of liability survive termination.
